The CMA CGM group, one of the world's leading operators in maritime, land, air transport, and logistics solutions, has announced an agreement to acquire FedEx Supply Chain, a subsidiary of FedEx Corp, with an enterprise value of $1.4 billion. The operation, which is expected to close in 2026, would practically triple the size of CEVA Logistics' contract logistics operations, a subsidiary of the CMA CGM group, in North America.

The acquisition occurs as part of a more than 25-year investment commitment by the French group in the U.S. supply chain and accelerates its strategy aimed at providing comprehensive end-to-end logistics solutions. With the integration of FedEx Supply Chain's assets and nearly 10,000 employees, CEVA Logistics will become one of the leading contract logistics providers in North America.

According to data provided by CMA CGM, the combined entity will operate approximately 150 warehouses, which will expand CEVA's total presence in North America to a combined workforce of 20,000 people distributed across more than 240 locations.

Following the execution of this operation, CMA CGM and FedEx also anticipate signing multi-year commercial agreements related to air and sea freight. CMA CGM will become FedEx's preferred maritime carrier, offering transport and maritime logistics operator services under a non-exclusive agreement. Both companies will also work together on selected air cargo capacity solutions, aiming to strengthen their respective global networks through greater utilization of aircraft and more flexible long-haul capacity.

Rodolphe Saadé, president and CEO of the CMA CGM group, declared that the acquisition and the alliance with FedEx represent a significant step in the development of CEVA Logistics and the group's logistics activities in North America. According to Saadé, the operation expands the company's capacity to offer its customers integrated supply chain solutions and confirms the group's long-term commitment to investing in the United States and the resilience and efficiency of its supply chain.

For his part, Raj Subramaniam, president and CEO of FedEx, noted that the announcement allows the company to focus its attention on its specific expertise in high-value sectors, including healthcare, automotive, aerospace, and data centers. Subramaniam explained that by streamlining its business portfolio, FedEx is better positioned to execute its long-term vision and continue to act as a central hub of the industrial economy, providing connectivity, reliability, and value to its customers worldwide. The executive added that the company expects to leverage its complementary relationship with CMA CGM, a global logistics solutions provider, to continue the new phase of FedEx Supply Chain and its workforce.

Regarding the closing and approvals of the operation, the acquisition is scheduled for 2026, subject to the usual regulatory authorizations. Air cargo and maritime transport agreements will start to take effect in various phases between now and 2028.

In the operation, Morgan Stanley and Messier & Associés act as financial advisors to CMA CGM, while Cleary Gottlieb serves as legal advisor to the French shipping company. On behalf of FedEx, JPMorgan acts as financial advisor and Baker McKenzie as legal advisor.

The purchase of FedEx Supply Chain is part of a process of CMA CGM's expansion into the contract logistics segment in the United States, one of the largest foreign trade markets in the world. The operation, combined with the commercial agreements announced in parallel, links the maritime and air activities of the French group more closely with the land logistics network that FedEx had previously managed through this subsidiary. The result is a reconfiguration of the contract logistics provider landscape in North America, in which CEVA Logistics is positioned among the largest operators in the region, with a volume of infrastructure and personnel that significantly multiplies what it maintained before the agreement.
